Wendy's Rejects $1.4 Billion Trian Bid, Bets on 'Dave's Way' Revival

Wendy's rejected Trian's $1.4B bid and launched Dave's Way: optional breakfast worth up to $200M in EBITDA, menu cuts and a delivery push after Q3 comps fell 5.7%.

Wendy's board committee of independent directors has unanimously rejected Trian Management Partners' unsolicited $1.4 billion takeover bid, CEO Robert Wright said on a Thursday earnings call, as the burger chain laid out a multi-year turnaround plan it calls Dave's Way.

The plan targets customer traffic, market share and restaurant profitability after a run of U.S. same-store sales and traffic declines, including a 5.7% comparable sales drop in the third quarter. Franchisees have closed stores to optimize portfolios, and one of the brand's largest operators, Meritage Hospitality Group, declared bankruptcy in September.

"We're confident that we have the right strategy, execution and resources to restore Wendy's to its full potential and drive meaningful shareholder value," Wright said.

Dave's Way rests on five pillars: food quality and value, distinct branding and marketing, operational standards, digital experience, and using restaurants as "the engine for growth." Wendy's shared the strategy with global franchisees and suppliers at a September convention before the public announcement, and Wright said post-convention surveys showed a substantial increase in franchisee optimism and confidence in leadership.

What does the plan change on the menu?

Wendy's is rebuilding its menu around "distinctive, fresh and craveable food" — improving core ingredients, testing thicker and crispier bacon, richer and creamier Frostys, whole-leaf lettuce and reworked salads. It is restructuring menus around high-demand core items and removing low-volume items that add kitchen complexity.

"We'll scale the improvements as they are ready, resulting in a fully refreshed menu experience in 2027," Wright said.

The biggest economics lever is breakfast, which becomes optional for franchisees. Restaurants that already dropped the morning daypart saw greater profitability across lunch, dinner and late night through more efficient labor deployment — and many have recaptured their breakfast sales in other dayparts. Expanding the option later this year could add up to $200 million in restaurant-level EBITDA across franchised and company units, Wright said.

How does the marketing reset work?

Wendy's hired Tariq Hassan as chief marketing and customer growth officer in August, signed a new creative agency six weeks ago, and rebuilt its media strategy around new data and testing tools. Early moves include fresh-beef signage around restaurants and the $7.99 Dave's Single Combo limited-time offer. Wright said the chain will test creative and channels before broader deployment to direct spending toward programs that drive visits.

What happens to operations and training?

Wendy's is returning to "rigorous brand standards" backed by a metric-driven performance system that rewards top operators and coaches laggards, with interventions tied to traffic metrics. The gap is measurable: restaurants in the top quintile of customer satisfaction outperform the bottom quintile on traffic by more than 500 basis points, and their lunch drive-thru speed advantage is nearly two minutes.

The chain is combining traditional surveys with online reviews and social media data to build a satisfaction measure linked to sales growth. It will pilot simplified cross-training systemwide early next year and align staffing with peak-hour demand to improve throughput.

Can delivery move the sales needle?

Wendy's lags competitors in delivery despite industrywide growth, but company and franchisee tests delivered low double-digit to 20% sales lifts in the channel. More than 90% of U.S. franchised restaurants now participate in delivery promotions — nearly double the level of a few months ago. The chain will also push personalization and more relevant offers to lift ordering frequency and digital market share.

A new portfolio optimization team is working with franchisees, lenders and partners on underperforming restaurants, offering operational support, deferred royalties or fees, targeted closures, or ownership transfers. Wendy's signed a letter of intent to acquire up to 163 Meritage restaurants, with plans to eventually refranchise them; Meritage is separately selling 42 units to Divine Infinity Operations for over $18 million.

"Taken together, these actions demonstrate the disciplined approach we're taking to strengthen the system," Wright said. Progress will be measured through improved franchise economics and portfolio health, with the refreshed menu landing in 2027.
